Company Integrity & Anti-Corruption Statement

1. Purpose & Commitment
We hereby formally issue this integrity and anti-corruption statement to demonstrate our firm stance on standardized operation, fair trade, and ethical business practices in all international trade business activities. As a professional foreign trade enterprise, we always adhere to the principles of integrity, transparency, legality, and fairness, strictly abide by the laws, regulations and international trade conventions of China and all cooperative countries and regions, and refuse any form of corrupt, improper and uncommercial ethical behaviors.
We are committed to building a clean, honest and mutually beneficial global trade cooperation environment, safeguarding the legitimate rights and interests of all customers, suppliers, partners and stakeholders, and maintaining the good order of international trade.

2. Anti-Bribery & Anti-Corruption Policy
Our company strictly prohibits any employees, agents, distributors and cooperative partners from conducting the following improper behaviors in business negotiation, order signing, goods delivery, payment settlement, after-sales service and all foreign trade links:
1) Offering, promising, giving or authorizing any form of bribery, kickbacks, rebates, gifts, cash benefits, luxury entertainment and improper interests to customers, purchasers, customs officers, inspection personnel and relevant institutional staff;
2) Accepting illegal rebates, benefits, gifts and bribes from suppliers, processing factories and upstream and downstream cooperative parties;
3) Conducting fraud, false quotation, false reporting of goods information, concealed trade terms and other dishonest behaviors to mislead cooperative parties;
4) Using trade privileges to seek personal gain, engage in power rent-seeking or damage the company and partner interests in any disguised form.

3. Fair & Transparent Trade Principles
We uphold open and transparent business operation in all foreign trade businesses. All product quotations, trade terms, delivery cycles, quality standards and after-sales policies are true, accurate and consistent. We never conduct discriminatory trading, fraudulent trading, malicious price competition or breach of trade faith behaviors against any global customers and partners.
We respect the business rules and legal requirements of different countries and regions, comply with international trade ethics, treat all cooperative parties equally regardless of cooperation scale, region and order volume, and maintain long-term stable and honest cooperative relations.

4. Supply Chain & Partner Compliance Management
We require all suppliers, processing manufacturers, logistics service providers, agents and business partners to strictly abide by international anti-corruption and integrity business norms. We will conduct regular compliance screening and assessment of cooperative parties. Once any corruption, fraud, dishonesty and other illegal and non-compliant behaviors are found, we will immediately terminate the cooperation relationship, reserve the right to pursue legal responsibilities, and include the non-compliant parties in our blacklist of long-term cooperation prohibition.

5. Supervision & Complaint Mechanism
Our company has established a complete internal integrity supervision and external complaint reporting mechanism. For any suspected improper behaviors such as bribery, fraud, irregular operation and dishonest trading involving our company’s employees and business activities, global customers and partners are welcome to supervise and report through official channels.
All reported information will be kept strictly confidential. We will arrange special personnel to verify and handle all valid complaints in a timely manner, and give feedback to the reporter as soon as possible. We firmly resist any form of improper business behavior and continuously optimize the clean and compliant business system.

6. Liability Commitment
Our company assumes full legal and commercial responsibilities for all business behaviors. Any employee who violates this integrity statement and relevant compliance regulations will be severely punished in accordance with internal management system, including but not limited to warning, salary deduction, dismissal, and transfer of suspected illegal and criminal clues to judicial organs. We will bear corresponding compensation liabilities for any losses caused to cooperative parties due to our non-compliant behaviors.

7. Sustained Compliance Operation
We will always take integrity compliance as the core foundation of enterprise international development, continuously carry out employee integrity training and trade compliance education, improve the internal supervision and management system, standardize the whole process of foreign trade business, and ensure that all overseas business activities operate in accordance with laws, regulations and ethical norms.

二、反贿赂、反腐败管理准则
我司严禁公司全体员工、代理商、经销商及合作方，在业务洽谈、订单签约、货物交付、款项结算、售后对接等全部外贸业务环节，发生以下各类不正当行为：
1）向海外客户、采购方、海关、商检及相关机构工作人员，提供、许诺或变相给予回扣、贿赂、现金礼金、高端宴请、礼品福利及一切不正当利益；
2）收受供应商、加工厂及上下游合作方的非法返点、利益输送、贿赂礼品等不正当收益；
3）通过虚假报价、隐瞒产品信息、篡改贸易条款、业务造假等不诚信方式误导、欺诈合作方；
4）利用业务职权谋取私利、权力寻租，以任何变相方式损害公司及合作伙伴合法利益。

三、公平透明贸易原则
我司所有外贸业务坚持公开、透明、公正的运营标准，所有产品报价、贸易条款、交付周期、质量标准、售后政策均真实有效、公开统一，绝不针对任何海外客户实施差别化交易、欺诈交易、恶意低价竞争、违约失信等行为。
我司尊重各国各地区商业规则与合规要求，恪守国际贸易职业道德，无论合作区域、订单规模大小，均平等对待每一位合作伙伴，坚守长期诚信共赢的合作理念。

四、供应链与合作方合规管理
我司要求所有供应商、生产工厂、物流服务商、代理合作方严格遵守国际廉洁合规准则与商业道德规范。我司将定期对合作方开展合规筛查与资质审核，一经查实合作方存在腐败舞弊、业务造假、失信违约等违规违法行为，将立即终止合作，保留追究其法律责任的权利，并将其纳入永久合作黑名单。

五、监督与投诉机制
我司建立了完善的内部廉洁监督与外部投诉举报渠道。针对我司员工及业务环节存在的受贿舞弊、业务违规、交易失信、操作不规范等问题，欢迎全球客户及合作伙伴全程监督、实名举报。
我司对举报信息严格保密，安排专人对有效投诉及时核查、公正处理并反馈结果，坚决整治各类商业不正之风，持续完善廉洁合规的外贸经营体系。

六、责任承担说明
我司对所有对外外贸业务行为承担全部法律责任与商业责任。凡公司员工违反本廉洁声明及合规管理制度的，将依规予以严肃处理，包括通报批评、绩效处罚、开除辞退等；涉嫌违法犯罪的，将移交司法机关处理。若因我司违规失信行为给合作方造成损失，我司将依法承担相应赔偿责任。
